PLEASE READ THESE SUBSCRIPTION TERMS AND CONDITIONS (THE “TERMS”) CAREFULLY BEFORE SUBSCRIBING TO ANY SERVICES OFFERED BY CHEFY (“CHEFY,” “WE,” “US,” OR “OUR”). BY COMPLETING YOUR REGISTRATION FOR A SUBSCRIPTION, YOU (“SUBSCRIBER,” “YOU,” OR “YOUR”) AGREE TO BE LEGALLY BOUND BY THESE TERMS.

These Terms govern your purchase and use of Chefy’s subscription-based services (the “Services”) and are incorporated into our main Terms of Service.

1. Subscription Services and Billing

1.1. Subscription Plans: We offer various subscription plans for the Services, including, but not limited to, a monthly plan (“Monthly Subscription”) and an annual plan (“Annual Subscription”). The specific features, pricing, and duration of each plan are detailed within the Chefy application (“App”) at the time of purchase.

1.2. 7-Day Free Trial

• (a) Eligibility: Your subscription to either the Monthly or Annual plan may begin with a 7-day free trial. The free trial is available ONCE to new subscribers only. A new subscriber is defined as an individual who has not previously had a Chefy account or has not previously taken a free trial. Eligibility is determined by Chefy at its sole discretion.
• (b) Payment Method Required: To begin your free trial, you must provide a current, valid, and accepted method of payment (“Payment Method”). We may place a temporary authorization hold on your Payment Method to verify its validity, but you will not be charged during the free trial period.
• (c) Automatic Conversion to Paid Subscription: AT THE CONCLUSION OF YOUR 7-DAY FREE TRIAL, YOUR SUBSCRIPTION WILL AUTOMATICALLY CONVERT TO A RECURRING PAID SUBSCRIPTION FOR THE PLAN YOU SELECTED (EITHER MONTHLY OR ANNUAL). ON THE DAY YOUR TRIAL ENDS, WE WILL CHARGE YOUR PAYMENT METHOD THE FULL SUBSCRIPTION FEE FOR YOUR FIRST BILLING CYCLE.
• (d) Trial Abuse: We reserve the right to revoke, terminate, or modify the 7-day free trial offer at any time without prior notice if we determine, in our sole discretion, that a user is not eligible or is abusing the trial offer. This includes, but is not limited to, creating multiple accounts with different email addresses or using multiple payment methods to obtain more than one free trial.

1.3. Payment Processing: All financial transactions are processed through our third-party payment processor, Stripe, Inc. (“Stripe”). By providing your Payment Method, you are entering into an agreement directly with Stripe and are subject to the applicable Stripe Services Agreement and Privacy Policy. Chefy is not responsible for the performance of Stripe. We do not collect or store your full payment card details.

1.4. Authorization and Billing: By starting a 7-day free trial and providing your Payment Method, you expressly authorize Chefy, through Stripe, to charge your designated Payment Method for the applicable recurring Subscription Fee on the day your free trial concludes. This authorization will remain in full force and effect for subsequent automatic renewals unless you cancel your subscription in accordance with Section 3 of these Terms.

1.5. Automatic Renewal and Billing Cycle: ALL SUBSCRIPTIONS RENEW AUTOMATICALLY. The billing cycle for your paid subscription begins on the day your 7-day free trial ends and is determined by that date (“Subscription Anniversary”).

• Monthly Subscriptions: Your Monthly Subscription will automatically renew for successive one-month periods. You will be billed on the same calendar day each month as your Subscription Anniversary.
• Annual Subscriptions: Your Annual Subscription will automatically renew for successive one-year periods on the calendar anniversary of your initial purchase date.

You authorize us, through our payment processor Stripe, to store your Payment Method and to automatically charge the applicable subscription fee, plus any taxes, to your payment method on file at the beginning of each renewal period.

1.6. Payment Failures and Chargebacks: If your payment method is declined, we reserve the right to suspend or terminate your access to the Services immediately. You remain responsible for any uncollected amounts. If you initiate a chargeback or otherwise reverse a payment, your account will be terminated immediately. We reserve the right to dispute any chargeback and to seek recovery of any fees, including legal fees, incurred in connection with the chargeback.

1.7. Price Changes: We reserve the right to change the Subscription Fees at our sole discretion. Any price changes will be communicated to you via email or in-app notification at least thirty (30) days prior to your next Billing Date. Your continued use of the Services after the price change becomes effective constitutes your agreement to pay the modified Subscription Fee.

2. No Refund Policy

2.1. General Policy: All Subscription Fees are FINAL AND NON-REFUNDABLE. There are no refunds for payments made after your free trial has concluded. We do not provide refunds or credits for any partial subscription periods, unused Services, or dissatisfaction with the Services.

2.2. Exceptions: The only exception to this policy is for payments determined by Chefy, in its sole and absolute discretion, to be the result of verified fraudulent activity. If you believe you have been a victim of fraud, you must contact our support team with verifiable evidence within ten (10) days of the transaction. Chefy’s determination in such matters is final.

3. Cancellation and Termination

3.1. Cancellation by Subscriber: You may cancel your subscription at any time through the account settings within the App.

• To avoid charges, you must cancel at least twenty-four (24) hours before your 7-day free trial ends. If you cancel during the trial, your access will terminate at the end of the trial period.
• If you cancel a paid subscription, the cancellation will become effective at the end of your current paid billing period, and you will continue to have access until that date.

3.2. Termination by Chefy: We reserve the right to suspend or terminate your subscription and access to the Services immediately, without notice or refund, for any reason, including but not limited to: (a) A breach of these Terms or our main Terms of Service; (b) Any attempt to defraud, cheat, or abuse the Services, including our Free Trial or Referral Program; (c) A chargeback or payment dispute; (d) Any activity deemed harmful to Chefy, our Services, or other users.

3.3. Effect of Cancellation/Termination: Upon cancellation or termination, your account is subject to permanent deletion. If you choose to resubscribe at a later date, you will be creating a new account. All data, history, credits, and settings from your previous account will be permanently lost and cannot be restored. You will not be eligible for any new-user promotions or free trials upon resubscription.

4. Referral Program

4.1. Program Overview: Eligible Subscribers in good standing may participate in the Chefy Referral Program. The program allows you to earn subscription credits (“Referral Credits”) by referring new users to Chefy.

4.2. Qualified Referral: A “Qualified Referral” is defined as a new user who: * (a) Registers for Chefy using your unique referral link or code; * (b) Subscribes to a paid Monthly or Annual Subscription; and * (c) Successfully completes payment for their first billing cycle without a chargeback or refund.

4.3. Earning and Applying Credits: * For Monthly Subscribers: You will receive a Referral Credit equivalent to one (1) free month of a Monthly Subscription for each Qualified Referral. This credit will be automatically applied to your account following the next Billing Date after the referral is qualified. * For Annual Subscribers: You will receive a prorated Referral Credit equivalent to two (2) months of service value for each Qualified Referral. This credit will be applied as a discount on your next annual renewal fee. The credit is calculated based on the $29.99 annual fee, not the monthly fee. * Limit: You may earn a maximum of two (2) Referral Credits in total.

4.4. Referral Credit Conditions: Referral Credits are non-transferable, have no cash value, and cannot be redeemed for cash or any other consideration. Credits are forfeited if your account is terminated for any reason.

4.5. Prohibited Activities: You agree not to engage in any fraudulent activity, including but not limited to: creating fake accounts, using spam or unsolicited commercial emails to distribute your referral link, or misleading potential referees. Chefy reserves the right to invalidate any Referral Credits and terminate your account if we suspect any fraudulent or abusive behavior. All decisions by Chefy regarding the Referral Program are final.

5. Governing Law and Dispute Resolution

5.1. Governing Law: These Terms and any dispute arising out of or related to them or the Services shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law provisions.

5.2. Mandatory Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms shall be determined by binding arbitration in Las Vegas, Nevada. The arbitration shall be administered by a single arbitrator from a recognized arbitration service.

5.3. Class Action Waiver: You and Chefy agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

6. General Provisions

6.1. Modification of Terms: We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide at least thirty (30) days’ notice before any new terms take effect.6.2. Entire Agreement: These Terms, together with our main Terms of Service and Privacy Policy, constitute the entire agreement between you and Chefy regarding our Services and supersede all prior agreements.
